Terms of Service

1.1 Agreement to Terms

Welcome to What AI Services ("Company," "we," "us," or "our"). These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Customer"), and What AI Services, concerning your access to and use of the What AI Services website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and must discontinue use immediately.

1.2 Changes to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Services after the date such revised Terms are posted.

3.1 Account Creation

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. What AI Services will not be liable for any loss or damage arising from your failure to comply with these requirements.

3.3 Eligibility

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services. By using the Services, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements.

4.1 Permitted Use

You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Services strictly in accordance with these Terms. You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services.

4.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating Laws: Using the Services for any illegal purpose or in violation of any local, state, national, or international law.
• Harmful Content: Using the AI Agents to generate, distribute, or promote hate speech, violence, harassment, discrimination, or sexually explicit content.
• Reverse Engineering: Attempting to reverse engineer, decompile, disassemble, or derive source code, underlying ideas, algorithms, structure, or organization of the AI Agents or any part of the Services.
• Interference: Interfering with or disrupting the integrity or performance of the Services or third-party data contained therein, including introducing viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Unauthorized Access: Attempting to gain unauthorized access to the Services, other user accounts, or computer systems or networks connected to the Services.
• Data Scraping: Using any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.
• Misrepresentation: Impersonating any person or entity or misrepresenting your affiliation with a person or entity.
• API Abuse: Excessive or abusive usage of our API, as determined by our sole discretion, including exceeding rate limits or bypassing usage restrictions.

4.3 Output Responsibility

You acknowledge that you are solely responsible for the inputs ("Prompts") you provide to the AI Agents and the outputs ("Responses") generated. You are responsible for reviewing and verifying the accuracy and appropriateness of all Responses before using them. What AI Services does not guarantee the accuracy, quality, or integrity of any AI-generated content.

5.1 Our Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by What AI Services, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The "What AI Services" name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company.

5.2 Your Content and Outputs

As between you and What AI Services, and to the extent permitted by applicable law, you own all rights, title, and interest in and to the Prompts you provide and the Responses generated specifically for you by the Services ("User Content").

By using the Services, you grant What AI Services a worldwide, non-exclusive, royalty-free, fully paid-up license to process, reproduce, modify, display, and distribute your User Content solely as necessary to provide, maintain, and improve the Services, and to comply with applicable laws. This includes the right to use your User Content to train and refine our AI models, provided that such data is anonymized and aggregated whenever possible.

5.3 Feedback

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Services ("Feedback") provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Feedback for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

6.1 Fees

Some parts of the Services are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

6.2 Payment

You agree to provide valid payment information. By submitting such payment information, you automatically authorize What AI Services to charge all Subscription fees incurred through your account to any such payment instruments. If automatic billing fails to occur for any reason, we will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

6.3 Fee Changes

What AI Services, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

6.4 Refunds

Except when required by law, paid Subscription fees are non-refundable. Certain refund requests for Subscriptions may be considered by the Company on a case-by-case basis and granted at the sole discretion of the Company.

9.1 "As Is" and "As Available"

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WHAT AI SERVICES EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

9.2 AI Limitations

YOU ACKNOWLEDGE THAT ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING TECHNOLOGIES ARE RAPIDLY EVOLVING. WE DO NOT WARRANT THAT THE AI AGENTS WILL BE ERROR-FREE, THAT THE RESPONSES WILL BE ACCURATE, COMPLETE, OR UNBIASED, OR THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS. YOU SHOULD NOT RELY SOLELY ON THE AI AGENTS FOR CRITICAL ADVICE, INCLUDING BUT NOT LIMITED TO LEGAL, MEDICAL, OR FINANCIAL ADVICE.

9.3 Service Reliability

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS IN THE SERVICES WILL BE CORRECTED. WE MAKE NO WARRANTY REGARDING THE QUALITY OF ANY PRODUCTS, SERVICES, OR INFORMATION PURCHASED OR OBTAINED THROUGH THE SERVICES.

12.1 Termination by You

You may terminate your account and discontinue your use of the Services at any time. If you have a paid Subscription, you may cancel it in accordance with the cancellation provisions of your specific plan.

12.2 Termination by Us

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Services. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be resolved by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The place of arbitration shall be Wilmington, Delaware. The arbitration shall be conducted in English.

13.3 Class Action Waiver

WHERE PERMITTED UNDER THE APPLICABLE LAW, YOU AND WHAT AI SERVICES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and What AI Services agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

14.1 Entire Agreement

These Terms, along with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and What AI Services regarding the Services and supersede all prior and contemporaneous written or oral agreements between you and What AI Services.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

14.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and What AI Services's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without What AI Services's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. What AI Services may freely assign or transfer these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor, or materials.
